Terms & Conditions

1. Acceptance of Terms
By accessing or using Cluxn's services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, do not use the services.
2. Services Description
Cluxn provides IT consulting, custom software development, website development, business process automation, ERP consulting, and related digital services to manufacturing and production businesses. Service scope, deliverables, and timelines are defined in individual project agreements.
3. Intellectual Property
Upon full payment, all deliverables transfer to the client. Cluxn retains the right to reference anonymised project descriptions and outcomes in its portfolio for marketing purposes, unless a separate non-disclosure agreement specifies otherwise in writing.
4. Payment Terms
Project-based engagements: 30% on project commencement, 40% at agreed milestone, 30% on final delivery. Monthly retainer engagements: invoiced and payable in advance. Payment terms are confirmed in individual project agreements.
5. Confidentiality
Client operational data, financial information, and business processes shared during an engagement are treated as strictly confidential. This obligation survives the conclusion of the engagement.
6. Limitation of Liability
To the fullest extent permitted by law, Cluxn's liability for any claim arising from services provided is limited to the fees paid for the specific engagement in question. Cluxn is not liable for indirect, consequential, or incidental damages.
7. Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.
8. Changes to Terms
Cluxn reserves the right to update these Terms & Conditions at any time. Material changes will be communicated with a minimum of 30 days' notice. Continued use of services after notice constitutes acceptance.
