1. Acceptance of Terms

By accessing or using Cluxn's services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, do not use the services.

2. Services Description

Cluxn provides IT consulting, custom software development, website development, business process automation, ERP consulting, and related digital services to manufacturing and production businesses. Service scope, deliverables, and timelines are defined in individual project agreements.

3. Intellectual Property

Upon full payment, all deliverables transfer to the client. Cluxn retains the right to reference anonymised project descriptions and outcomes in its portfolio for marketing purposes, unless a separate non-disclosure agreement specifies otherwise in writing.

4. Payment Terms

Project-based engagements: 50% advance on project commencement, 50% on final delivery. Monthly retainer engagements: invoiced and payable in advance. Payment terms are confirmed in individual project agreements. Billing and invoice questions: accounts@cluxn.com.

5. Monthly Plans

These terms apply to the SEO Plan, Factory Team and Scale Team. Section 4 still applies to one-off projects.

• Billing. Monthly plans are billed monthly in advance. Prices are in USD unless agreed otherwise in writing.
• Cancellation. Plans run month to month. Either party may end a plan with 30 days' written notice. There is no setup fee.
• Hours. Work on Factory Team and Scale Team is estimated task by task and starts only after you approve the estimate. We log hours against each task and send an hours report every month. Unused hours roll over for one month and then expire.
• Extra hours. Extra hours are sold in 20-hour blocks at $600 a block. We start them only after you approve them in advance.
• First-fix guarantee. Before work starts, your written plan names the first fix, its estimated hours and its go-live date. If delivering that fix takes more hours than estimated, Cluxn does not charge for the extra hours and they do not count against your plan's monthly hours. If the go-live date passes because of us, the same applies to any hours needed to finish it. Time is paused while we wait for your access, approvals or information, and the date moves by the length of that wait. Changes you ask for after approving the plan are estimated and approved as new work. This applies to delivering the agreed first fix only. It is not a guarantee of search rankings or business results.
• SEO delivery. SEO work is delivered by a specialist partner working as Cluxn's subcontractor. Cluxn manages the work, remains your single contact and invoices you, and stays responsible to you for it.

6. Confidentiality

Client operational data, financial information, and business processes shared during an engagement are treated as strictly confidential. This obligation survives the conclusion of the engagement.

7. Limitation of Liability

To the fullest extent permitted by law, Cluxn's liability for any claim arising from services provided is limited to the fees paid for the specific engagement in question. Cluxn is not liable for indirect, consequential, or incidental damages.

8. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.

9. Changes to Terms

Cluxn reserves the right to update these Terms & Conditions at any time. Material changes will be communicated with a minimum of 30 days' notice. Continued use of services after notice constitutes acceptance.
